These Terms and Conditions (“Terms”) govern your access to and use of the services provided by Universal Bookkeeping(“we”, “our”, or “us”). By engaging our services, you (“Client”) agree to be bound by these Terms. If you do not agree, please do not use our services.
Universal Bookkeeping provides professional bookkeeping, payroll, financial reporting, and related accounting support services to businesses primarily in the United States, United Kingdom, and Canada. The specific scope of services is agreed upon at the time of engagement and may be outlined in a separate service agreement.
We reserve the right to modify, suspend, or discontinue any service at any time with reasonable prior notice to you.
As a client, you agree to:
Our service fees are as set out in the applicable plan or service agreement. Unless otherwise stated, fees are billed monthly in advance. Payment is due within 7 days of the invoice date.
Both parties agree to keep the other's confidential information strictly private. We will not disclose your financial data, business information, or client details to any third party except as required by law or as necessary to provide the services (e.g., use of secure cloud accounting software).
This obligation of confidentiality survives the termination of our engagement.
All methodologies, processes, templates, and tools developed by Universal Bookkeeping remain our exclusive intellectual property. Reports, financial statements, and documents we prepare using your data are delivered to you for your use, but our underlying processes and systems remain ours.
You retain full ownership of your financial data and business information at all times.
Our services are based entirely on the information, documents, and data you provide. We are not responsible for errors, omissions, or inaccuracies in our deliverables that result from incomplete, inaccurate, or untimely information provided by you.
Our services do not constitute legal, tax, investment, or financial advice. While we prepare your financial records and filings, all final decisions regarding your finances remain yours. We recommend consulting a qualified attorney or CPA for legal or complex tax matters.
To the fullest extent permitted by law, Universal Bookkeeping's total liability to you for any claim arising out of or relating to our services shall not exceed the total fees paid by you in the three (3) months preceding the claim.
We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption, even if we have been advised of the possibility of such damages.
Our engagement is month-to-month unless a fixed-term agreement has been signed. Either party may terminate the engagement with 30 days' written notice.
You agree to indemnify and hold harmless Universal Bookkeeping, its employees, and contractors from any claims, damages, losses, or expenses (including legal fees) arising out of your breach of these Terms, your misuse of our services, or any inaccurate or misleading information you provide to us.
These Terms shall be governed by and construed in accordance with the laws of Pakistan. Any disputes arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of Lahore, Pakistan, unless otherwise agreed in a separate written agreement.
For clients in the US, UK, or Canada, we will make reasonable efforts to resolve disputes amicably before pursuing formal legal action.
We reserve the right to update these Terms at any time. We will notify you of material changes via email or by posting a notice on our website. Continued use of our services after such notice constitutes your acceptance of the revised Terms.
